Sound License.

01Definitions

For this license:

• “rooot.” (or “we” / “us”) — the rooot. platform and the entity operating it.
• “User” or “Member” (or “you”) — any person with a rooot. account, regardless of plan tier (Starter, Pro, Max) or plan status — a lapsed plan never revokes a licence. This license applies the same to every user.
• “Sound” — any individual audio file, MIDI file, or sound asset available in the rooot. catalog.
• “Redeemed Sound” — a Sound you have downloaded from rooot. using credits or a kit purchase, while your account was in good standing.
• “Royalty-Free Sound” — any Sound categorized in the drums, one-shots, fx, or vocal buckets.
• “Clearance-Required Sound” — any Sound categorized in the loops, midi, or stem buckets.
• “Release” — making a track containing a Redeemed Sound publicly available, including (but not limited to) commercial release, streaming distribution, sync placement, free download, social media post, or sale.
• “Major Label” — Universal Music Group, Sony Music Entertainment, Warner Music Group, and any of their wholly-owned subsidiaries, imprints, or joint-venture labels.
• “Streams” / “Plays” — the official play count of a track as reported by streaming and download platforms (Spotify, Apple Music, YouTube, SoundCloud, Tidal, Amazon Music, and equivalents), measured cumulatively across all platforms.
• “Original Producer” — the producer who created the Sound and uploaded it (or whose work was ingested) into the rooot. catalog.

02License Grant

Subject to your compliance with this license, rooot. grants you, on behalf of the Original Producer, a worldwide, non-exclusive, perpetual, non-transferable license to use each Redeemed Sound in your own musical works.

This license is perpetual for Redeemed Sounds — meaning: even if you cancel your subscription or your account is terminated later, you keep the right to use the Sounds you already redeemed while your account was in good standing. You do not, however, get access to new Sounds without an active subscription.

What you can do with any Redeemed Sound:

• Use it in original musical compositions and recordings
• Modify it: pitch-shift, time-stretch, chop, re-arrange, layer, process with effects, combine with other audio
• Embed it in commercial releases (subject to section 4 for Clearance-Required Sounds)
• Include it in sync placements (film, TV, ads, games, etc., subject to section 4)
• Perform tracks containing it live
• Distribute tracks containing it across streaming platforms, digital stores, and physical media

03Royalty-Free Sounds (drums · one-shots · fx · vocal)

Sounds in the drums, one-shots, fx, and vocal buckets are fully royalty-free.

This means:

• No clearance required — ever, regardless of how successful your track becomes.
• No credit required — you do not have to credit the Original Producer or rooot. (though credit is always appreciated).
• No fees beyond your credits — your redemption is the only payment.
• No play-count thresholds — these Sounds are cleared for unlimited commercial use from the moment you redeem them.

Use these Sounds anywhere: commercial release, streaming, sync, advertising, video, games, or anywhere else you create.

04Clearance-Required Sounds (loops · midi · stem)

Sounds in the loops, midi, and stem buckets are licensed to you immediately for normal use — you can drop them in your DAW, build tracks with them, release independently, and use them in personal projects freely. We only ask for clearance if your track containing one of these Sounds hits one of two specific thresholds.

4.1 When clearance is required

You must clear use of a Clearance-Required Sound directly with its Original Producer if either of the following becomes true for any track containing that Sound:

1. Major-label release — the track is signed to or released by a Major Label (as defined in section 1), or
2. 1,000,000+ streams or plays — the track reaches one million or more cumulative streams or plays across all platforms combined.

Realistically, this only kicks in if your track gets very big or signs to a major. For the vast majority of releases, you’ll never need to think about this. We’ve set the threshold high on purpose — loops, MIDI, and stems represent more creative contribution from the Original Producer than a one-shot does, and this clause exists so they share fairly in major successes. It is not a gotcha and it does not affect your day-to-day use.

4.2 How clearance works

Clearance is between you and the Original Producer. Each Sound page shows the producer who made it · reach out directly via their social channels (Instagram, TikTok, etc.). If you need help contacting a producer, email support@rooot.online · we can facilitate an introduction. rooot. does not mediate or enforce clearance · the conversation is between you and the producer.

Clearance terms are negotiated case-by-case and may include any combination of:

• Producer credit (co-producer or producer attribution on the release)
• Royalty share (a percentage of master and/or publishing royalties)
• One-time clearance fee (a flat payment)

4.3 What happens if you don’t clear

If a clearance trigger fires and you don’t clear with the Original Producer in good faith, you’re using the Sound without their permission. The Original Producer retains all standard copyright remedies under applicable law. rooot. is not party to and does not enforce this dispute.

05Modification Rights

You may freely modify any Redeemed Sound to integrate it into your work. This includes:

• Pitch-shifting and time-stretching
• Chopping, slicing, and re-arranging
• Processing with effects (EQ, compression, reverb, distortion, etc.)
• Layering with other audio
• Combining with other Sounds (from rooot. or elsewhere)
• Embedding in larger compositions

Modified Sounds remain subject to this license. Modifying a Clearance-Required Sound does not avoid the clearance triggers in section 4 — if you build a track around a chopped loop, the loop’s terms still apply to that track.

06Restrictions

You may not:

1. Resell the raw Sound as a sample. No re-uploading Sounds to other sample marketplaces, no including the raw audio file in your own sample packs, no distributing the underlying Sound as a sample for other producers to use. Using the Sound inside your own musical compositions and releasing those compositions is the whole point — go forth. Just don’t strip-mine the catalog and resell it.
2. Claim authorship of the underlying Sound. Derivative works (tracks you make using the Sound) are yours. The Sound itself was made by the Original Producer, and you cannot represent that you created it.
3. Use the raw Sound as the primary asset in an NFT or similar tokenized sample product. Releasing a track that uses a Redeemed Sound as part of an NFT or similar product is fine (your track is the asset). Minting the raw Sound as a tokenized sample for other producers to acquire is not.
4. Use Sounds in content that is illegal, defamatory, or that infringes the rights of others.

07Termination and Perpetual Rights

7.1 Your subscription ending

If you cancel your subscription, your account is downgraded, or your account is terminated for any reason:

• You keep the right to use every Sound you redeemed while your account was in good standing. This grant survives termination and is perpetual.
• You lose access to redeem new Sounds and to download Sounds you have not yet redeemed.

7.2 Account termination and Sound removal

rooot. may at any time, at its discretion and without liability:

• Remove any Sound, kit, or producer from the catalog
• Terminate or suspend any User account

If rooot. removes a Sound or terminates an account, existing licenses to Sounds already redeemed remain in effect (subject to section 7.1). The User’s relationship with the Original Producer is independent of rooot.’s account decisions.

7.3 rooot. ceasing operations

If rooot. ceases operations, existing licenses to Redeemed Sounds continue · the underlying license runs from the Original Producer through rooot.’s administration, so it persists beyond rooot.’s involvement. The User’s relationship with Original Producers (including any clearance obligations under section 4) is independent of rooot. and unaffected by shutdown.

08Attribution

• Royalty-Free Sounds — no attribution required.
• Clearance-Required Sounds — attribution (producer credit) is one of the standard outcomes of a clearance negotiation under section 4.2. It is not required absent a clearance trigger.

Crediting Original Producers and rooot. even when not required is always welcome and helps the community.

09Updates to This License

rooot. may update this license from time to time. The “Last updated” date at the top of this document is your anchor — if it changes, the terms may have changed.

Any update applies prospectively to Sounds you redeem after the update’s effective date. Sounds you redeemed before the update remain governed by the version of this license that was in effect at the time of redemption.

In v1 we do not push notifications when this document changes. Users are responsible for checking the “Last updated” date if they want to confirm the current terms.

10Governing Law and Jurisdiction

This license is governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any disputes arising from this license shall be brought in the courts located in Ontario, Canada.

11Limited Role of rooot.

rooot. operates the marketplace and administers licenses on behalf of Original Producers. rooot. is not the original rights-holder of any Sound. Responsibility for the originality, ownership, and clearance status of each Sound rests with the Original Producer who uploaded it. rooot. provides the platform · rooot. does not warrant authorship or freedom from third-party claims for any Sound.

12Disputes

Disputes between Users and Original Producers (including IP, clearance, royalty, attribution) are between those parties · rooot. is not a party to and does not mediate such disputes.

For v1, rooot. takes a minimal approach to disputes between a User and rooot.:

• Disputes between a User and rooot. should first be raised by emailing support@rooot.online for good-faith resolution. If unresolved, either party may bring the dispute in the courts identified in section 10.

13Entire Agreement and Severability

This document is the entire license agreement covering your use of Sounds redeemed from rooot.. It does not replace rooot.’s Terms of Service (which cover the platform itself, payment, refunds, account behavior) or the Privacy Policy (which covers data). Those are separate documents.

If any part of this license is found unenforceable, the rest remains in effect.
